Definitions

In this document, the following words shall have the following meanings:

• “Customer” means the organisation or person who buys Goods.
• “Goods” means the articles to be supplied to the Customer by ZUWAA.
• “ZUWAA” means ZUWAA Commerce Ltd., registered in Cameroon.
• “Intellectual Property Rights” means all patents, registered and unregistered designs, copyright, trademarks, know-how, and all other forms of intellectual property, wherever in the world enforceable.

These Terms apply to all sales channels.

Website Content

All Goods displayed on ZUWAA’s website include image(s) of the product, a description, model number, product features, price, and warranty duration, where applicable. While ZUWAA makes every effort to ensure the accuracy of information provided, slight variations may occur, including due to differences in screen brightness or resolution.

Price and Payment

The price shall be ZUWAA’s quoted price or the price listed on ZUWAA’s website on the date of acceptance of an order, unless otherwise agreed.

• All quotations are valid for fourteen (14) days only from the date issued, after which they automatically expire.
• All quotations are subject to the availability of Goods and may vary before acceptance of an order.
• All quotations and prices are issued in CFA Franc (XAF).
• ZUWAA reserves the right to reject an order at its discretion without providing reasons.
• Prices are inclusive of VAT and other applicable taxes unless otherwise specified.
• The purchase price does not include special packaging, branding, insurance, or incidental costs unless quoted separately.

Payment is due within the agreed terms from the invoice date, without discount or setoff.

If payment is not received by the due date, ZUWAA reserves the right to:

• Charge interest on overdue invoices at a rate of 2% per month.
• Require advance payment before delivery of undelivered Goods.
• Suspend delivery of Goods without liability.
• Customers are liable for all costs incurred due to late or incomplete payment, including bank charges, collection costs, and legal fees.

Description

Any description given or applied to Goods is by way of identification only and shall not constitute a sale by description. Customers acknowledge that they do not rely solely on product descriptions when making purchases.

Sample

Where a sample of Goods is shown and inspected by the Customer, such sample is representative only. The final Goods delivered may differ slightly due to manufacturing processes.

Stock-out

If Goods are out of stock, Customers may choose alternatives or wait until restocked. ZUWAA will not be liable for any breach of these Terms in such cases.

Risk

Risk in the Goods passes to the Customer upon receipt of delivery. If the Customer opts for self-collection, risk passes when the Goods are set aside for collection or entrusted to the Customer.

Title

Title to the Goods shall not pass to the Customer until full payment has been made. Customers acknowledge possession of Goods before payment in full is made as bailee for ZUWAA. ZUWAA may reclaim Goods if payment obligations are not met.

Customer’s Obligations

• Pay the purchase price strictly within the agreed terms.
• Comply fully with all obligations under these Terms promptly.

Warranties

• They have the legal authority to enter into this Agreement.
• They will comply with all applicable legal and regulatory requirements.
• All information provided to ZUWAA for account registration or purchase is true and accurate.

ZUWAA makes reasonable efforts to ensure website security, but does not guarantee it will be entirely free from vulnerabilities.

Limitation of Liability

ZUWAA shall not be liable for any loss or damage suffered by the Customer that exceeds the contract price.

Intellectual Property Rights

All Intellectual Property Rights arising from the performance of this Agreement shall vest in ZUWAA. Customers shall take all necessary steps to ensure these rights remain with ZUWAA.

Promotions

ZUWAA may, from time to time, offer promotions on Goods, subject to specific terms. Promotions will have validity periods and must be claimed within the specified time.

Product Warranty

Not all Goods are covered by warranties. Where applicable, warranty terms will be specified at the time of purchase. For certain electronics (e.g., laptops, printers, projectors), ZUWAA offers a warranty of up to 12 months against manufacturing defects.

Third-Party Links

The Site may include links to third-party websites. ZUWAA is not responsible for the content, products, or services provided by third parties. Customers should review the terms and conditions of these third parties.

Force Majeure

ZUWAA shall not be liable for delays or failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, strikes, war, fire, supply shortages, internet outages, or cyberattacks. In such cases, ZUWAA is entitled to a reasonable extension of obligations or may terminate the contract without liability.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Cameroon. Parties submit to the exclusive jurisdiction of the courts in Yaounde, Cameroon.

General

• Nothing in these Terms establishes a partnership or joint venture.
• Unless otherwise agreed in writing, these Terms supersede any other terms implied by law or trade practice.
• Acceptance of Goods constitutes unconditional acceptance of these Terms.
• Any variations to these Terms must be agreed in writing by ZUWAA.
• If any provision is deemed invalid or unenforceable, the remaining provisions shall continue in effect.
• The contract may not be assigned or transferred by the Customer without ZUWAA’s written consent.
• Failure to enforce any provision does not constitute a waiver.
• Each party is responsible for compliance with applicable data protection laws, including Cameroon’s data protection regulations and ZUWAA’s Privacy Policy.
